1. NAME:
The Club shall be called "The Trades Club Social Club" (in these rules called "the Trades Club" or "the Club").

2. OBJECTS:
The objects shall be to further the cause of socialism and common ownership, to provide recreation and means of social intercourse for its members, to promote live music and to encourage by meetings, lectures and discussions a
better knowledge on all industrial and social objects. Any eligible person who is of good character and is prepared to sign the Declaration shall, irrespective of race, sex, nationality or religious belief, be eligible for admission to membership.


3. DECLARATION:
All persons wishing to become members must sign the following declaration: "I the undersigned do declare that my principles are consistent with the principles of socialism and common ownership and I pledge myself to take no action inconsistent with the objects of the Club so long as I shall continue a member thereof, and hereby undertake to conform in all respects to the rules of the Club. Dated this day of 200_ . Name. Address. Occupation. " Every member must, during his or her membership, be an adherent to the policies of the Trades Club.

4. EQUAL OPPORTUNITIES:
The Trades Club recognises that there are disadvantaged groups in our society. It affirms that it has a responsibility to eliminate discrimination against these groups. The Trades Club is working towards being an equal opportunities organisation. In employment, in the provision of our services, and in relations with other bodies, the Trades Club aims to ensure that no individual or group receives less favourable treatment on the grounds of age, appearance, colour, disability, ethnic or national origin, gender, HIV/AIDS status, education or qualifications, marital status, nationality, race, religious belief, responsibility for dependants, sexual orientation, unrelated criminal convictions, or by any other conditions or requirements that cannot be shown to be justifiable. The Trades Club will take positive action to redress discrimination by ensuring that recruitment and selection of staff is carried out in accordance with anti-discriminatory principles, encouraging service users or job applicants to complain if they believe they have been subject to discrimination, confronting instances of discriminatory behaviour and taking appropriate action, including disciplinary action if necessary, addressing the issues of access for people with disabilities.

5. GOVERNMENT:
The affairs of the Club, except in those matters reserved under the rules for the Club in General Meetings, shall be managed by a General Committee (in these rules called "the Committee"). The Committee shall exercise the powers given to it by these rules and shall consist of the Officers of the Club plus other members up to a combined total of fifteen, elected in accordance with these rules. All members of the afore-mentioned committee must be members of the Trades Club. Seven members, of whom two must be officers of the Club, shall form a quorum of the Committee.

6. TRUSTEES:
The property of the Club (other than the cash which shall be under the control of the Committee) shall be vested in trustees. The appointment of trustees shall be vested in the members, and the appointment shall be made by resolution passed at a General Meeting. The number of trustees shall not be more than four nor less than two, and they shall remain in office until death or resignation in writing unless removed from office by a resolution of a General Meeting. They shall deal with the property of the Club as directed by resolution of the Committee and they shall be indemnified against risk and expense out of the Club property. The Committee shall have power and from time to time by resolution, may determine to purchase, sell, lease, mortgage or otherwise dispose of any property, and in every case where at the foot of any deed or other document it is certified by three persons appearing to be the Secretary and two of the members for the time being of the Committee that such a document has been executed in accordance with the direction of the Committee, such certificate shall in favour of any person acquiring any interest in property for valuable consideration in money or money's worth, and subject only to express notice to the contrary, be conclusive evidence that the document is binding on the Club and every member thereof.

7. MEMBERS:
The name, address and occupation of every candidate for Club membership, with the name of the Proposer and Seconder (both of whom shall vouch from their personal knowledge of the fitness of the candidate) shall be entered in a nomination book at least two days before the day on which the name is submitted for election. All Proposers and Seconders of new members must be existing members of the Trades Club. The particulars in the nomination book shall be prominently displayed in the Club premises, in a part frequented by the members, for not less than two days preceding the day when the candidate comes up for election. No person shall be admitted to membership or be admitted as a candidate to membership to any of the privileges of membership without an interval of at least two days between his or her nomination and admission. The election of members shall be made by the Committee. Immediately upon the election of a member, notice thereof shall be given to him or her and, after signing the declaration and paymet of subscription, he or she shall be furnished with a card of membership and a copy of the Club rules. Such person shall thereupon become a member of the Club and be entitled to all the benefits and privileges of membership and be bound by the rules.

ASSOCIATE YOUTH MEMBERS:
Membership shall be open to persons aged between sixteen and eighteen years to be known as Youth Members. Youth membership shall carry the same rights and benefits and be subject to the same disciplinary rules as ordinary members except for:- i) No Youth Member shall be permitted to purchase alcoholic liquors either for himself or herself or for any other person. ii) Youth Members shall not be entitled to vote at any meeting of members. iii) Youth Members shall not be permitted to sign any non-member into the Club. iv) Total Youth Membership shall not be more than 10% of the total number of members of the Trades Club. v) Youth members will apply for full membership upon achieving the age of eighteen.

HOLIDAY MEMBERS:
Membership shall be open to any person visiting the Area subject to application in the usual manner. Such membership shall be valid for one month from the date of acceptance. The membership fee shall be half of the fee currently applicable to full membership. Holiday membership can be upgraded to full membership subject to the payment of the remaining fee.

8. SUBSCRIPTIONS:
The subscription for members (including any concessions that the Committee may grant) shall be an annual amount as determined by the Committee not later than two weeks before the date of the Annual General Meeting, payable in advance, on the first day of January in each year. Details of members, dates of nominations and election, together with the dates of last subscriptions and payment to be kept by Secretary and to be kept available in the Club. Any person whose subscription shall not be paid within one month of its becoming due shall be considered in arrears, and if the amount due shall not be paid within fourteen days of its becoming in arrears, such person shall cease to be a member. No member shall be allowed to use the Club whilst he or she is in arrears with his or her subscription.

9. ASSOCIATES:
Except as provided by this rule and subject to any conditions which a Magistrates' Court may attach to the Club's Registration Certificate, a bona fide member of any other organisation recognised by the Trades Club or a bona fide member of any team invited to the Club premises for the purpose of playing a game of bowls, billiards, snooker, darts, dominoes or other such game as part of an organised and established competition or contest may (on production of his or her card of membership of such other club or on satisfactory proof of membership of such team as the case may be) be admitted to the Club premises and intoxicating liquor may be sold to him or her by or on behalf of the Club for consumption on the premises. Any such person is hereafter in the rules called "an associate". Provided always that no such rights be conferred upon or be available to: (a) Any person who has been a member of the Club who has left it in arrears in payment of his or her subscription or who is otherwise a debtor of the Club orwho is suspended or expelled member of the Club. (b) Any person who has been an unsuccessful candidate for admission to membership of the Club. (c) Any person who is under suspension or expulsion from the Club.

10. SUSPENSION:
The Committee may reprimand, suspend for such period as they think fit or expel from membership any member wilfully disobeying any of these rules, or guilty of any conduct rendering such member unfit in their opinion for membership of the Club. Provided that before expelling such member the Committee shall call upon him or her for an explanation of his or her conduct, and shall hear what he or she may urge in his or her defence. A member expelled in accordance with this rule shall have no claim on the property of the Club, and shall not be eligible for re-election as a member during such period as the Committee may decide.
I. (a) A letter is sent to the person in question asking them to attend a committee meeting at a specific time and date. (b) The letter must include the reason they have been called before the Committee and the date of the alleged incident. (c) The letter must inform that they can bring witnesses on their behalf if they wish to. (d) A copy of this letter must be kept.
II. In the event of the person not attending the above meeting a second letter is sent, as above, and adding that if they do not attend this meeting, their case will be heard in their absence and a letter will be sent to inform them of the outcome.
III. (a) Five days notice must be given of each meeting. (b) Suspensions cannot be for more than twelve months.

11. OFFICERS AND COMMITTEE:
The election to the offices of President, Vice-President, Treasurer and Secretary shall be held at or during the week preceding the Annual General Meeting as the Committee shall determine, and each Officer shall hold office until the next succeeding Annual General Meeting. No officer of the Club may at the same time be an employee of the Club. Every candidate for the office of President, Vice President, Treasurer and Secretary shall be proposed and seconded by two members of the Club. Such proposals shall be sent to the Secretary in writing not less than seven days before the Annual General Meeting and the name of every such candidate with the names of his or her proposer and seconder shall be posted in the Club not less than seven days before the Annual General Meeting. The election of the Committee shall be held at or during the week preceding the Annual Meeting and each Committee member shall hold office for one year from the election.
All members of the Committee shall retire at the Annual General Meeting. The retiring members shall be eligible for re-election. Every candidate for membership of the Committee shall be proposed and seconded by two members of the Club and shall satisfy the condition of having been members of the Club for one year. Such proposals shall be sent to the Secretary in writing not less than seven days before the Annual General Meeting and the name of every candidate, with the name of his or her Proposer and Seconder, shall be posted in the Club not less than seven days before the Annual General Meeting. The election of such Officers and the Committee shall be by ballot. Balloting papers shall be prepared containing all the names properly nominated, and each member of the Club shall be entitled to vote for as many candidates as there are to be filled and no more. The candidates up to the number of vacancies who shall receive most votes shall be declared elected, and in the case of two or more candidates receiving anequal number of votes a second vote shall be taken. The Officers of the Club shall be ex-officio members of the Committee.
Any officer or member of the Committee may at any time retire therefrom by giving to the Secretary notice in writing of his or her intention to do so. Should any member of the Committee fail to attend for three consecutive meetings without a satisfactory reason being given, the Committee shall elect any member of the club to fill such position. The Committee shall have power to elect any member of the Club to fill any casual vacancy which may arise by death or resignation or by reason of any official or elected member of the Committee ceasing during his or her term of office to be a member of the Committee or of the Club. A member or officer so appointed to fill a vacancy shall serve on the committee for the remainder of the term of office of the member or officer whose place he or she fills. No member shall be entitled to hold any official position until he or she shall have been a full financial member of the Club for at least one year. The Committee may from time to time appoint from among their number an from among the other members of the Club such sub-committees as they may deem necessary and expedient and may depute to them such of the powers and duties of the Committee as the Committee may determine. Such sub-committees shall periodically report their proceedings to the Committee, and shall conduct their business in accordance with the directions of the Committee.

12. BYE-LAWS:
The Committee shall have the power to make, repeal and amend from time to time all such bye-laws and regulations (not inconsistent with these rules) as they shall think expedient for the internal management and well being of the Club. All by-laws and regulations made by the Committee under this rule shall be binding upon the members until repealed by the Committee or set aside by a resolution of a General Meeting of the Club.

13. GENERAL MEETINGS:
The Annual General Meeting of the Club shall be held upon a day and at a time to be fixed by the Committee in the month of March in each year for the following purposes:
(a) To receive and accept a report and statement of accounts for the preceding year and to appoint an auditor and accountant for the coming year.
(b) To elect Officers of the Club and eleven members of the Committee for the ensuing year.
(c) To decide upon any resolution, proposal or matter and transact any other business which shall duly be submitted to the meeting.
(d) To consider affiliation to any appropriate national or local organisation.
The Committee may at any time for any special purpose call a Special General Meeting and they shall do so forthwith on a requisition in writing signed by not less than thirty members entitled to attend and vote at a General Meeting or one fifth of the total number of members so entitled (whichever is the less) stating the purpose for which the meeting is required. Notice of such Special General Meeting and the purpose for which it is summoned shall be posted in the Club seven days before the same is held. The business to be transacted at such meeting shall be confined to the purposes named in the notice. At the Annual or Special General Meetings of the Club the President, or in his or her absence the Vice-President, or in his or her absence a member selected by the Committee shall take the chair. Notice of the Annual General Meeting and the business to be transacted thereat shall be posted on the notice board of the Club seven days before the date for holding the same. Any member desirous of moving any resoltion at the Annual or Special General Meetings shall give notice thereof in writing to the Secretary not less than seven days before the date of the meeting.
At the Annual or Special General Meetings the decision of the meeting shall (except as provided by these rules) be ascertained by show of hands or by taking a division in such other manner as the Committee may deem most convenient. Every member not in arrears with his or her subscription shall be entitled to be present at such meeting and to vote thereat and, in the event of equality of votes, the Chairman shall be entitled to a second or casting vote. At the Annual or Special General Meetings there shall be a quorum which shall be at least half of the officers of the Club and at least half of the ordinary committee members of the Club and at least a number of ordinary members equal to the total of officers & committee members present.

14. FINANCIAL YEAR:
The financial year of the Club shall end on the fifth day of January in each year, to which day the accounts of the Club shall be balanced.

15. PROFITS OF THE CLUB:
The money or property of the Club or any gain arising from the carrying on of the Club may be applied in any of the following ways:
(a) For the benefit of the Club as a whole, or
(b) For charitable or benevolent purposes, or
(c) For political purposes consistent with the objects of the Club.
No arrangements shall exist for:-
(a) Any person to receive at the expense of the Club, any commission, percentage or similar on or with any reference to purchases of intoxicating liquor by the Club, or
(b) Any person directly or indirectly to derive any pecuniary benefit from a supply of intoxicating liquor by or on behalf of the Club to members or guests apart from any benefit accruing to the Club as a whole and a part also from any benefit from which a person derives indirectly by reason of the supply giving rise or contributing to a general gain from the carrying on of the Club.

16. AUDITOR:
At every Annual General Meeting a member of the Club, not being a Committee member, shall be elected to act as auditor of the Club's accounts. The auditor shall check the accounts of the Club not less than 14 days before the Annual General Meeting. For this purpose the auditor shall have access to all the books, deeds, documents and accounts of the Club and shall examine the general statement and accounts of receipts and expenditure, funds and effects of the Club, and verify the same with the books, deeds, documents, accounts and vouchers relating thereto, and shall either sign the same as found to be correct, duly vouched and in accordance with the law, or shall specially report to the Club in what respects they are found to be incorrect, unvouched or not in accordance with the law. A copy of the balance sheet or balance sheets covering the financial year of the Club with the report of the auditor, if any, shall be posted in the Club at least two days before the Annual General Meeting. The committee may fil a vacancy occurring in the office of auditor during the year.

17. DUTIES OF THE PRESIDENT:
The President shall preside at all meetings and keep order, and shall give advice to any member who may require it on any matter that concerns the Club. He or she shall make, or cause to be made all necessary enquiries as to any irregularities that may exist, and report the result of such enquiries to the next committee meeting. He or she shall have free access to the accounts and books of the Secretary and Treasurer, and shall sign the minutes of all meetings passed by the Committee. He or she shall put all motions which shall have been duly proposed and seconded, the decision of the majority of those present shall be deemed the decision of the whole body. In the case of an equal division of votes, he or she shall have a casting vote.

18. DUTIES OF THE VICE-PRESIDENT:
The Vice-President shall assist the President in the discharge of the duties of his or her office, and shall perform the duties of the President in his or her absence.

19. DUTIES OF THE SECRETARY:
The Secretary shall ensure that a correct register of the name and address of every member is kept. He or she shall also ensure that the Bar Manager is supplied with a copy of the name of every member for his or her guidance. The details of members, dates of nomination and election together with the date of the last subscription shall be recorded with any payment due and made to the Secretary and the details made available in the club. Payments to be kept by the Secretary. He or she shall also ensure that a Minute Book is kept, in which shall be recorded the transactions and resolutions of all meetings and a cash book is kept in which shall be entered the receipts and disbursements of the Club. He or she shall conduct all correspondence and supply the members with all necessary information as to the finances of the Club. He or she shall have his or her books prepared for the Auditor at the time of auditing, or at any other time that the President or Committee deem it necessary; he or she shall also prepare astatement of accounts which, having been scrutinised and signed by the Auditor, shall be submitted to the Annual Meeting of the members or at other such meeting of members as shall be determined by the Committee. It shall also be the duty of the Secretary to give written notice as required by the Licensing Act 1961 to the Chief Officer of the Police and the Local Authority (in the case of any alteration of these rules) or to the Clerk to the Justices (in the case of any change in the Club's particulars as contained in the Register of Clubs kept by the Clerk to the Justices).

20. DUTIES OF THE TREASURER:
The Treasurer shall keep accounts and be responsible for all moneys handed to him or her in connection with the Club. He or she shall, after receiving instructions from the Committee, discharge payments of all bills and obtain receipts for all moneys paid. He or she must pay in or withdraw from the bank in the name of the Club any amount which the Committee may from time to time determine, and shall furnish a report at each Committee Meeting of the balance at the bank and in hand; the Club's debtors and creditors, and produce all vouchers and papers in support thereof. The Treasurer shall reconcile all bank statements with the account book and be responsible for making returns to the V.A.T., Tax and National Insurance offices. He or she shall furnish the Committee with month end figures at the earliest opportunity. The Treasurer shall make available to the stocktaker all invoices, receipts and working papers required by him. He or she shall furnish the accountant with all information required by them to prepre the year-end accounts. He or she shall make all information required available to the Auditor for the Annual General Meetings. All moneys or cheques withdrawn to be countersigned by two of the above Officials of the Club.

21. HOURS OF OPENING AND CLOSING:
The Club shall be opened and closed at such hours as may be fixed by the committee and as posted in the Club.

22. PERMITTED HOURS FOR THE SUPPLY OF INTOXICANTS:
The Committee shall have the power to fix permitted hours for the supply of intoxicants in the Club and from time to time alter the hours so fixed, provided that: a) The hours shall not on any day be longer, nor begin earlier or end later than the general licensing hours for the time being in force in the District in which the Club is situated and b) The Committee shall from time to time apply to the Clerk to the Justices for extensions to licensing hours. Provided further that if an order is made by the Licensing Justices for the District under subsection (3) or (4) of section 5 of the licensing Act 1961, so much of the hours so fixed as falls before the beginning or after the end of the general licensing hours as altered shall from the expiration of six weeks after the date of the order be treated as excluded from the permitted hours in the Club premises. The hours fixed from time to time by the Committee pursuant to its power under this rule shall be the permitted hours of the Club for the purpose of the licensing act 1961 and shall be notified in writing to the Clerk to the Justices in accordance with the said act, and until so notified shall not take effect.

23. INTOXICATING LIQUORS:
Intoxicating liquors shall not be supplied to a member or guest or associate on the Club premises otherwise than on behalf of the Club and shall not be supplied for consumption off the premises except to a member in person. No arrangements shall be made by the Committee for any person to receive at the expense of the Club any commission, percentage or similar payment on or with reference to purchases of intoxicating liquor by the Club or for any person directly or indirectly to derive any pecuniary benefit from the supply of intoxicating liquor by or on behalf of the Club to members or guests, apart from any benefit accruing to the Club as a whole and apart also from any benefit which a person derives indirectly by reason of the supply giving rise or contributing to a general gain from the carrying on of the Club.

24. VISITORS:
A member or an associate shall be allowed to introduce visitors subject to such regulations or bye-laws as shall be made from time to time by the Committee, and every visitor shall be considered the guest of and be accompanied by the member or associate introducing him or her. Provided that no person shall be introduced as a visitor in the Club who shall have been suspended or expelled from membership or whose nomination as a member shall have been rejected; or who has been suspended or expelled from membership of any club, national or local organisation with which this Club is affiliated. Each visitor and the member or associate introducing him or her must sign the visitors book duly provided for that purpose. No visitor shall be permitted to make any payment for intoxicating liquor either directly or indirectly. In the event of misconduct on the part of the visitor, he or she shall at once be removed from the Club premises and the member or associate introducing such visitor shall be reported to the Commitee and on the facts being proved shall be liable, in the case of a member, for suspension or expulsion or to be debarred in the case of an associate.

25. ALTERATION OF THE RULES:
These rules may be added to, repealed or amended by resolution at any Annual or Special General Meeting provided that no such resolution shall be deemed to have been passed unless it be carried by a majority of at least two thirds of the members voting thereat. Any alteration to these rules, which may from time to time be made, shall forthwith be notified in writing to the Chief Officer of Police and to the Clerk to the Justices as required by the Licensing Act 1961.

26. INTERPRETATION:
The Committee shall be the sole authority for the interpretation of the rules, and of the bye-laws and regulations made thereunder; and the decisions of the Committee upon any question of interpretation, or upon any matter affecting the Club and not provided for in these rules or the Bye-laws and regulations made thereunder shall be final and binding on the members.
